Terms of Service

1. Agreement

By installing or using the Recerna software (the "Software") or website, you agree to these Terms. For enterprise customers, a separate Master Services Agreement and Order Form control and prevail over any conflict here.

2. License

Subject to these Terms and payment, Recerna grants a non-exclusive, non-transferable, revocable license to use the Software for the licensed number of seats, for internal business use only.

3. Restrictions

You may not:

• exceed your licensed seat count;
• sublicense, resell, or provide the Software as a service to third parties;
• reverse-engineer the Software except as permitted by law; or
• use the Software unlawfully.

4. Third-party data

The Software draws on public government registries and third-party services (for example, Google and Twilio). Your use of outputs derived from those services is subject to their terms, and Recerna does not control their accuracy or availability.

5. Decision-support; no warranty of accuracy

The Software is a decision-support tool. Verdicts and signals are informational and may be incomplete or out of date. You are responsible for final decisions.The Software is provided "AS IS" without warranties of any kind, including merchantability, fitness for a particular purpose, and accuracy.

6. Limitation of liability

To the maximum extent permitted by law, Recerna's aggregate liability is limited to the fees paid in the 12 months preceding the claim, and Recerna is not liable for indirect or consequential damages.

7. Term & termination

These Terms apply while you use the Software. Recerna may suspend or terminate for material breach. Restrictions and disclaimers survive termination.

8. Governing law

These Terms are governed by the laws of the United States and the state in which Recerna is established, excluding conflict-of-laws rules.

9. Changes

Recerna may update these Terms; continued use constitutes acceptance of the updated Terms.
